Sections: The articles of association and the shareholder - Shareholder and his voting right - Shareholder's right to dividend - The shareholder's right to protection against oppressive conduct - Meaning of oppressive conduct under section 201 - The right of return of assets on a winding up - Rights and liabilities of shareholders inter se - The right of the shareholder to ensure that the directors do not act in violation of the articles - Shareholder's rights and liabilities and the rule in Foss v. Harbottle - Conclusion. Ref.
